FormulaBoost Excel Add-in, and any updates thereto (the "Software") is licensed, not sold to you ("You", "Your") by the owners ("FormulaBoost") of the Software for use only under the terms of this license. By using the Software, You consent to the terms of this license. If You do not consent to the terms of this license, do not use the Software. All terms of this license apply to both the free trial ("Free Trial") and paid version ("Paid Version") of the Software, except section 1b. "Paid Version Specific License Terms" which only applies to the Paid Version and except for section 1c. "Free Trial Specific License Terms" which only applies to the Free Trial.
FormulaBoost grants You a non-exclusive, non-transferable license to use the Software, subject to the restrictions and requirements of this license. You may purchase a license key ("License Key") from FormulaBoost to change from the Free Trial to the Paid Version, and once You have activated Your License Key into the Software Your usage of the Software shall be governed by the licensing terms of the Paid Version.
FormulaBoost reserves the right to change the features and functionality of each version of the Software without notice and at anytime, including but not limited to, restricting features in the Free Trial, changing the length of the period of use of the Free Trial, creating other versions of the Software with different features, and restricting, discontinuing, or disabling the Free Trial.
The Software can only be used during the period of use of its license. Once the period of use has elapsed, You may not make any attempt to continuing using the Software other than by purchasing a new License Key from FormulaBoost. If You no longer wish to use the Software, the Software should be uninstalled from Your computer.
One (1) License Key permits the use of the Paid Version of the Software on one (1) computer and to one (1) individual user of that computer, for a time period subject to the terms as established when that License Key is purchased.
Technical support is given for 30 days from the date of purchase of a License Key.
The Free Trial allows use of the Software without purchasing a License Key for the purposes of determining if You wish to purchase a License Key in the future. The Free Trial begins once the Software has been installed and Microsoft Excel is opened for the first time with the installed Software. The Free Trial has a period of use that is established when the Free Trial is installed, but in all cases, this period shall not exceed 60 days.
If You do not have a separate technical support agreement with FormulaBoost, no technical support is guaranteed for the Free Trial during its period of use.
You may not:
Any attempt to do so is a violation of the rights of FormulaBoost and any breach of these restrictions may subject You to prosecution and damages. FormulaBoost will not provide support or refunds to You if Your Software malfunctions as a result of violating these restrictions.
The Software and all intellectual property rights in and to the Software are and shall at all times remain the sole and exclusive property of FormulaBoost and are protected by applicable intellectual property laws and treaties. This license grants You no right, title, or interest in any intellectual property owned or licensed by FormulaBoost. All rights not expressly granted to You are reserved by FormulaBoost.
THE SOFTWARE IS PROVIDED “AS IS”, AND “AS AVAILABLE”, WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND, AND FORMULABOOST DISCLAIMS ANY AND ALL REPRESENTATIONS OR WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, WITH RESPECT TO THE SOFTWARE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, OF FITNESS FOR A PARTICULAR PURPOSE, OF SATISFACTORY QUALITY, OF ACCURACY, OF QUIET ENJOYMENT, AND OF NON-INFRINGEMENT OF THIRD PARTY RIGHTS. FORMULABOOST DOES NOT WARRANT THAT THE FUNCTIONS CONTAINED IN, OR SERVICES PERFORMED OR PROVIDED BY, THE SOFTWARE WILL MEET YOUR REQUIREMENTS, THAT THE OPERATION OF THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT DEFECTS IN THE SOFTWARE WILL BE CORRECTED. YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT USE OF THE SOFTWARE IS AT YOUR SOLE RISK AND THAT THE ENTIRE RISK AS TO SATISFACTORY QUALITY, PERFORMANCE, ACCURACY AND EFFORT IS WITH YOU.
FORMULABOOST SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGE, WHETHER BASED ON CONTRACT OR TORT OR ANY OTHER LEGAL THEORY, ARISING OUT OF ANY USE OF SOFTWARE OR ANY PERFORMANCE OF THIS AGREEMENT, EVEN IF FORMULABOOST HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Termination of this license occurs upon the earliest of a) uninstallation of the Software, b) when Your Free Trial or Paid Version expires. This license may otherwise terminate automatically without notice from FormulaBoost if You fail to comply with any term of this license and in cases where payment has been made by You to FormulaBoost for the use of the Software, FormulaBoost shall not refund You such payment. Upon termination of the license, You shall cease all use of the Software, and destroy all copies, full or partial, of the Software.
BY INSTALLATION OF THIS SOFTWARE, YOU ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTAND THE FORE GOING AND THAT YOU AGREE TO BE BOUND BY ITS TERMS AND CONDITIONS.
